Item 8.    Change in Fiscal Year.

 

On August 7, 2003, the Board of Directors for Universal Corporation voted to change its fiscal year end to March 31 from June 30. Universal Corporation intends to file a Transitional Report on Form 10-K for the period ending March 31, 2004.

 

Item 12.    Results of Operations and Financial Condition.

 

On August 7, 2003, Universal Corporation issued a press release announcing its financial results for the fiscal year ended June 30, 2003. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated into this Item 12.
