Explanation of Responses:
(1) Includes 3,200 shares of common stock that were issued under an early
exercise feature in the Option granted to Dr. Massey, subject to a
repurchase right in favor of the Company at the option exercise price
in the event that the holder's employment with IGEN terminates prior to
vesting.
(2) Includes 15,200 shares of common stock that were issued under an early
exercise feature in the option granted to Dr. Massey, subject to a
repurchase right in favor of the Company at the option exercise price
in the event that the holder's employment with IGEN terminates prior to
vesting.
(3) Incentive Stock Option granted under the Issuer's 1994 Stock Option
Plan. Option vests 20% one year from the date of grant and then an
additional 5% vest each quarter thereafter.
(4) Option granted under the Issuer's 1994 Stock Option Plan. Option vests
20% one year from the date of grant and then an additional 5% vest each
quarter thereafter. Includes grant of 2,637 shares issued under an
Incentive Stock Option and grant of 47,363 shares issued under a Non-
Qualified Stock Option.
