Item 2.02.  Results of Operations and Financial Condition.

On March 12, 2010, Chemtura Corporation announced its financial results for the fourth quarter of 2009.  A copy of the press release announcing the financial results is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
