ITEM 8.01 OTHER EVENTS
 
On September 22, 2005, Harken Energy Corporation (the “Company”) announced that its Board of Directors had authorized a stock repurchase program allowing the Company to buy back up to ten million shares of its common stock. All repurchases will be made from time to time in the open market when opportunities to do so at favorable prices present themselves in compliance with all applicable laws and regulations including the Securities and Exchange Commission rules.

The announcement is contained in a press release from the Company that is attached hereto as Exhibit 99.1.
