Q, N-SAR, or the transition report or portion thereof, could not be
filed within the prescribed time period.

	Management is awaiting review of the Company's
financial statements from the Company's accountants in order to
complete its Form 10QSB for the period ended March 31, 2002.  It is
anticipated that the review of the financial statements will be
completed in time for Management to complete preparation and
filing of the Form 10-QSB for the period ended March 31, 2002
within the time allowed by this extension.
