the Registrant.
We have
authority under Section 607.0850 of the Florida Business Corporation Act to
indemnify our directors and officers to the extent provided for in such statute.
Our Bylaws provide that we may insure, shall indemnify and shall advance
expenses on behalf of our officers and directors to the fullest extent not
prohibited by law. We are also a party to indemnification agreements with each
of our directors and officers. Our bylaws provide that, to the
fullest extent permitted by applicable law, we shall indemnify any person who is
a party or otherwise involved in any proceeding by reason of the fact that such
person is or was a director or officer of our company or was serving at our
request.
Insofar
as indemnification for liabilities arising under the Securities Act of 1933 (the
Act) may be permitted to directors, officers and controlling persons of the
Company pursuant to the foregoing provisions, or otherwise, the Company has been
advised that in the opinion of the Securities and Exchange Commission, such
