Item 5.03.                                        Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

 

On April 25, 2013, the Board of Directors of Oconee Federal Financial Corp. (the “Company”) amended the Bylaws of the Company by deleting Article III, Section 17, which imposed an age limitation for directors of the Company, and by deleting Article V, Section 6, which imposed an age limitation for officers of the Company.

 

The Company intends to effectuate the amendment of its Bylaws by submitting notice of the amendment to the Federal Reserve Bank of Richmond.

 

A copy of the Company’s Amended Bylaws is attached to this Current Report as Exhibit 3.1 and is incorporated herein by reference.

 

Item 8.01                                           Other Events.

 

On April 25, 2013, the Board of Directors of the Company declared a quarterly cash dividend of $0.10 per share of the Company’s common stock. The dividend will be payable to stockholders of record as of May 9, 2013, and will be paid on or about May 23, 2013.
