(1)         Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this registration statement shall also cover any of Registrant’s additional Common Shares that become issuable under the Xyratex Ltd 2004 Employee Stock Purchase Plan, as amended and restated effective as of May 11, 2010 (the “ESPP”), by reason of any stock dividend, stock split, recapitalization or similar transaction effected without the Registrant’s receipt of consideration which would increase the number of outstanding Common Shares.  In addition, pursuant to Rule 416(c) under the Securities Act, this Registration Statement also covers an indeterminate amount of interests to be offered or sold pursuant to the employee benefits plan described herein.

(2)         Estimated solely for the purpose of calculating the registration fee pursuant to Rule 457(h) under the Securities Act of 1933, as amended, on the basis of the average of the high ($17.48) and low ($16.85) prices of the Common Shares as reported on the Nasdaq Global Market on September 27, 2010.

(3)         The ESPP authorizes the issuance of a maximum of 500,000 Common Shares, of which 200,000 Common Shares were previously registered and 300,000 Common Shares are being registered hereunder.

 

 

 



 

REGISTRATION OF ADDITIONAL SECURITIES WITH RESPECT TO THE XYRATEX LTD 2004 EMPLOYEE STOCK PURCHASE PLAN, AS AMENDED AND RESTATED EFFECTIVE AS OF MAY 11, 2010

 

By a registration statement on Form S-8 filed with the Securities and Exchange Commission (the “Commission”) on June 24, 2004, Registration No. 333-116809 (the “First ESPP Registration Statement”), the Registrant registered 200,000 Common Shares issuable under the ESPP.  The Registrant is hereby registering an additional 300,000 Common Shares issuable under the ESPP.  The First ESPP Registration Statement is incorporated by reference herein.
