Item 8.01               Other Events

 

Effective as of September 30, 2008, Willis Lease Finance Corporation (the “Company”) extended its existing stockholder rights plan through August 31, 2018 pursuant to a Third Amendment to Rights Agreement with American Stock Transfer and Trust Company, as Rights Agent.  That stockholder rights plan is referenced in Item 1A (Risk Factors) of the Company’s Form 10-K filed with the SEC on March 31, 2008 and is described in the Company’s Form 8-K filed with the SEC on October 4, 1999.
