Item 5.02.       Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

Effective March 9, 2007, J. Scott Zimmerman, President and Chief Executive Officer of Storm Cat Energy Corporation (the “Company”), has taken an administrative leave from the Company for personal reasons.  On the same date, the Company’s board of directors appointed Keith Knapstad, Chief Operating Officer, to serve as acting President and Chief Executive Officer during Mr. Zimmerman’s administrative leave.

On March 9, 2007, the Company issued a news release announcing Mr. Zimmerman’s administrative leave and Mr. Knapstad’s appointment, a copy of which is attached hereto as Exhibit 99.1 and incorporated into this report by reference.
