ITEM 8.01             Other Events

As more fully described in the attached press release dated October 20, 2006, the Board of Directors of ACNB Corporation declared the regular quarterly cash dividend for the Fourth Quarter of 2006, as well as a 5% common stock dividend, on October 17, 2006.  The cash dividend of $.21 per share and the subsequent 5% common stock dividend are payable on December 15, 2006, to shareholders of record on December 1, 2006.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.  The information furnished under this Item 8.01 of this Current Report on Form 8-K shall not be deemed to be filed for purposes of the Securities Exchange Act of 1934.
