Item 1.01.              Entry into a Material Definitive Agreement.

On September 25, 2006, Momenta Pharmaceuticals, Inc. (the “Company”), granted Peter Barton Hutt, a member of the Company’s Board of Directors, nonstatutory stock options (the “Options”) to purchase 6,500 shares of the Company’s Common Stock as compensation under the amendment dated September 18, 2006 to Mr. Hutt’s consulting agreement with the Company dated September 18, 2002, as amended by September 29, 2003, October 4, 2004 and September 22, 2005 agreements.  The Options have an exercise price of $12.81 per share, have a three-year duration and vest in 12 equal, monthly installments, with the first installment vesting one month from the date of grant.  The Options were issued under the Company’s 2004 Stock Incentive Plan, as amended, pursuant to the terms and conditions of the Form of Nonstatutory Stock Option Agreement under such Plan.  The Form of Nonstatutory Stock Option Agreement was filed as Exhibit 10.2 to the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2004 and is incorporated herein by reference.
