Item 8.01. Other Events

As previously announced, on October 20, 2014, Cleco Corporate Holdings LLC (f/k/a Cleco Corporation), a Louisiana limited liability company (the “Company”), entered into an Agreement and Plan of Merger with Cleco Partners L.P. (f/k/a Como 1 L.P.), a Delaware limited partnership (“Parent”), and Cleco Merger Sub Inc. (f/k/a Como 3 Inc.), a Louisiana corporation and an indirect wholly-owned subsidiary of Parent, with the Company surviving as an indirect, wholly-owned subsidiary of Parent (the “Merger”).

On April 13, 2016, the Company issued a press release announcing the completion of the Merger. A copy of the press release is attached hereto as Exhibit 99.1.
