On October 20, 2014, Cleco Corporation posted the following fact sheets on its external website.

Cleco: Preserving our heritage and securing our future
For nearly 80 years, Cleco has grown and adapted with the electric utility industry. Its proposed acquisition by a North American investor group led by Macquarie Infrastructure and Real Assets (MIRA) and British Columbia Investment Management Corporation (bcIMC) together with John Hancock Financial and other infrastructure investors will continue Cleco’s growth into the future.

With this transaction, Cleco’s current investors will receive an exceptional value for their shares to top off a superior total shareholder return over the past few years, while Cleco’s customers and employees can expect the company to retain its strong commitment to service and reliability. The transaction is subject to approval by Cleco shareholders, as well as state and federal regulators.

Why is this transaction good for Louisiana?
Cleco has proudly served residents and businesses in Louisiana for nearly 80 years, and the company’s commitment to its communities is as strong as ever. This transaction enables Cleco to partner with a group of experienced, long-term infrastructure investors who understand and are committed to preserving Cleco’s Louisiana heritage, while also supporting the company’s continued growth and success.

Following the close of the transaction, Cleco will remain a Louisiana utility. It will continue to operate as a stand-alone company with its headquarters and customer call center in Pineville, and it will maintain locally based operations and support functions. Cleco will be managed locally and will have Louisiana residents on its board of directors as we have had in the past. The agreement provides for at least four directors from Louisiana including the chair. The local focus of Cleco’s operations and leadership will help preserve Cleco’s strong culture.

Cleco employs approximately 1,200 people and has many retirees who continue to live locally. Following the close of the transaction, Cleco is committed to maintaining current staffing levels, with employee salaries and benefits remaining substantially consistent with or better than current levels, in the aggregate, across the company for two years. In addition, there will be no material changes to Cleco’s pension plan, pension plan design, or to current benefits for retiree medical plan participants for two years.

Further, following the close of the transaction, Cleco will retain its current level of economic development support for state and local agencies, and annual charitable contributions in the future are expected to meet or exceed current levels.

Why is this transaction good for Cleco’s customers?
This transaction enables Cleco to partner with a group of investors who understand and are committed to Cleco’s strategy as a safe, reliable, competitively priced electricity provider positioned to meet its customers’ long-term power needs.

The transaction will not affect residential or commercial rates for electricity.

Customers will continue to receive reliable power and responsive customer service from the same experienced Cleco workers who have assisted them in the past. Cleco Power’s existing customer service office locations and service centers will continue to provide customers with prompt responses to billing, installation and service matters. In addition, following the close of the transaction, Cleco will remain independently operated by local





management, and Cleco is committed to maintaining current staffing levels. Customers can continue to count on the same people they know and trust.

Cleco expects the ownership transition from public to private company to be completely seamless from the point of view of its customers. The company will continue to operate under the “Cleco” brand and name.

Why is this transaction good for employees and retirees?
Cleco’s new owners understand the relationship between Cleco and its employees, retirees, and communities. They believe in the company’s long-term strategy and are committed to helping Cleco achieve continued growth.

As part of the transaction, the new owner group has made broad commitments to preserve employment levels, employee pay and benefits levels, and retiree benefits.

Specifically, the new owner group has committed to maintain employee headcount, salaries and benefits substantially consistent with or better than current levels, in the aggregate, across the company for two years. Furthermore, there will be no material changes to Cleco’s pension plan, pension plan design, or to current benefits for retiree medical plan participants for two years.

The new owners are also committed to preserving Cleco’s Louisiana heritage, with local management and local operations. For example, in addition to maintaining current employment levels, Cleco will be managed locally and will have Louisiana residents on its board of directors as we have had in the past. The agreement provides for at least four directors from Louisiana including the chair. Further, Cleco will remain a Louisiana utility, will continue to operate as a stand-alone company, and its headquarters will remain in Pineville. Cleco will also maintain its customer service and support functions in Louisiana, including its call center in Pineville as well as management of generation operations, distribution, transmission and storm restoration.

Why is this transaction good for communities?
The company will continue to invest corporate resources and employee volunteer hours to help strengthen its communities. As a part of its public service effort, following the close of the transaction, Cleco will establish a charitable foundation that will support community-based programs, consistent with Cleco’s current practices. Annual charitable contributions from the new Cleco foundation will meet or exceed current charitable contributions. Current levels of funding will also be maintained for state and local economic development organizations. By supporting educational programs, health and wellness initiatives, youth organizations and other charitable organizations, Cleco is helping to improve the state, cities, towns and communities it serves.
