(b) Resignation of Director

 

On December 6, 2006, Mr. Dave Reding gave the Registrant notice of his resignation as a member of the Registrant’s Board of Directors, effective immediately. Mr. Reding’s resignation was not the result of any disagreement with the Registrant or its management. The vacancy created on the Registrant’s Board of Directors by Mr. Reding’s resignation will remain vacant until further notice.
