ANNOUNCES PRICING OF PUBLIC OFFERING OF COMMON STOCK

        DENVER—September 10, 2003—Tom Brown, Inc. (NYSE:TBI) today announced that it has priced a public offering of 9.5 million shares of its common stock at a price to the public of $25.75 per share. The offering includes 6.0 million shares to be sold by Tom Brown and 3.5 million shares to be sold by an affiliate of Unocal Corporation.

        Tom Brown expects the delivery of the shares to occur on September 16, 2003. The selling stockholder also has granted to the underwriters a 30-day option to purchase up to 1.425 million additional shares of common stock solely to cover over-allotments, if any.

        Tom Brown will receive net proceeds from this offering of $147.9 million, after deducting underwriting discounts and commissions and the estimated expenses of the offering. Tom Brown intends to use the net proceeds from the offering, together with cash on hand, to repay in full the $155.0 million principal amount of outstanding indebtedness under its senior subordinated credit facility, which indebtedness was incurred in connection with the acquisition of Matador Petroleum Corporation.
