This filing relates to a planned merger (the Merger) between Hewlett-Packard Company (HP) and Compaq Computer Corporation (Compaq) pursuant to the terms of an Agreement and Plan of Reorganization, dated as of September 4, 2001 (the Merger Agreement), by and among HP, Heloise Merger Corporation and Compaq. The Merger Agreement is on file with the Securities and Exchange Commission as an exhibit to the Current Report on Form 8-K, as amended, filed by Hewlett-Packard Company on September 4, 2001, and is incorporated by reference into this filing.
The following is a pair of slides and accompanying speaker notes relating to the Merger. This pair of slides and speaker notes is a revised version of a pair included in a package sent to HP managers for use in communicating with HP employees in connection with the Merger, which was filed with the Securities and Exchange Commission (the "SEC") on January 22, 2002 pursuant to Rule 425 under the Securities Act of 1933 and deemed filed pursuant to Rule 14-a12 under the Securities and Exchange Act of 1934. This pair of slides and speaker notes is being filed with the SEC in revised form to correct a typographical error and clarify that, in 2001, HP entered into a definitive agreement to acquire Indigo, N.V. in order to grow new revenue streams in the commercial and industrial printing space.
