Item 5.07 Submission of Matters to a Vote of Security Holders.

 

Applied Optoelectronics, Inc. (the “Company”) held its 2015 annual meeting of stockholders on May 29, 2015. Holders of an aggregate of 14,910,240 shares of the Company’s common stock at the close of business on April 6, 2015 were entitled to vote at the meeting, of which 12,140,822, or 81.42%, of the eligible shares were represented in person or by proxy. The matters voted upon at the meeting and the results of those votes were as follows:
